Axia FinOps Terms of Use

These terms govern use of Axia FinOps, an internal application operated by Axia Cooperative ("Axia"). The application is not offered to the public. It is not sold, licensed, distributed, or otherwise made available to member agencies, suppliers, or any third party, and no public sign-up exists.

1. Who may use it

Use is limited to Axia personnel and contractors who have been issued a named account by an Axia administrator, and only for Axia's internal business purposes. Accounts are personal. Credentials must not be shared, and an account must not be used by anyone other than the person it was issued to.

2. No license to third parties

Nothing here grants any person or organization outside Axia a right to access, install, copy, or use the application. Axia retains all right, title, and interest in the application, including its source code, design, and documentation.

An administrator may connect the application to Axia's own QuickBooks Online company. That connection writes real accounting entries. Users are responsible for reviewing what the application proposes before approving a posting, and for confirming the resulting entries reconcile. Axia may disconnect the integration at any time.

5. Confidentiality

Records in the application, including supplier transaction volumes, fee rates, rebate terms, and contract economics, are confidential business information of Axia and of the organizations concerned. Authorized users must keep them confidential during and after their engagement with Axia.

6. Availability

The application is provided for internal use on an as-available basis. Axia does not commit to any uptime, and may modify, suspend, or discontinue it, in whole or in part, at any time and without notice.

7. No warranty

The application is provided "as is" and "as available," without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Axia does not warrant that the application will be uninterrupted, error-free, or that its calculations or accounting entries will be free of defect. Output must be reviewed by a competent person before being relied upon.

8. Limitation of liability

To the fullest extent permitted by law, Axia will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to use of the application, whether in contract, tort, or any other theory, and whether or not Axia was advised of the possibility of such damages.

9. Termination

Axia may suspend or terminate any account at any time, with or without cause. Access ends automatically when a user's employment or engagement with Axia ends. Sections 2, 5, 7, 8, and 10 survive termination.

10. Governing law

These terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Davidson County, Tennessee.

11. Changes

Axia may revise these terms. Material changes will be reflected here with a revised effective date, and continued use after that date constitutes acceptance.
